VENDOR LIVE-SALE AGREEMENT

This Vendor Agreement ("Agreement") is made on October 5, 2026 between CPU of America ("CPU") and [Company name], a business represented by [Signer name] ("Vendor").

1. PURPOSE. CPU operates the Central Processing Unit live-commerce marketplace. Vendor supplies merchandise that CPU sells to customers during scheduled live sales, including one-hour (1-hour) sale events.

2. LISTINGS. CPU enters the Vendor's items, prices and starting quantities for each live sale. Every item is tied to the Vendor's ID so all sales are credited to the Vendor.

3. INVENTORY. Vendor guarantees the quantities provided to CPU are available. Quantities count down as items sell until they reach zero (sold out).

4. ORDERS & FULFILLMENT. CPU collects customer orders and payment. Vendor will deliver sold merchandise to CPU promptly after being notified. CPU packs and ships orders to customers through USPS.

5. PAYMENTS & COMMISSION. CPU's commission is based on the Vendor's total sales amount: 10% on sales up to $500.00; 15% on sales from $500.01 up to $1,000.00; 20% on sales from $1,001.00 up to $2,000.00; 30% on sales from $2,001.00 up to $5,000.00; 40% on sales from $5,001.00 up to $10,000.00. Sales of $10,000.00 or more move to a flat-rate contract to be negotiated between CPU and the Vendor. The remaining balance is payable to the Vendor after customer payment is verified. Payments by Cash App, Zelle or Chime are verified manually before payout.

6. QUALITY. Vendor confirms all merchandise is authentic, as described, and legal to sell.

7. RETURNS & ISSUES. Vendor will work with CPU in good faith to resolve damaged, missing or incorrect items.

8. PRIVACY. Vendor will only see its own sales and inventory. Customer information is used only to fulfill orders.

9. TERM. This Agreement begins on the date signed and continues until either party ends it in writing.
